Introduction & About Us
1.1 Company: HelpfulGoods LLC ("HelpfulGoods," "we," "us," or "our") is a limited liability company registered in the United States. We operate the e-commerce platform available at helpfulgoods.com (the "Platform"), through which we curate and sell innovative consumer products to customers in the United States and internationally, including the United Kingdom.
1.2 Platform Description: HelpfulGoods operates as a product curation and reseller platform. We source products from third-party suppliers and brand partners, make them available for purchase by consumers, and operate an affiliate/creator program allowing approved influencers to earn commissions on referred sales.
1.3 Binding Agreement: These Terms of Service ("Terms"), together with our Privacy Policy, form a legally binding contract between you and HelpfulGoods LLC. By accessing or using our Platform in any capacity β including as a visitor, guest, registered user, creator, or brand partner β you agree to these Terms.
Who These Terms Apply To
These Terms apply to all persons and entities accessing the Platform, including:
- Visitors β anyone who browses the Platform without creating an account.
- Guests / Guest Buyers β individuals who complete a purchase without registering a full account. Guest buyers are subject to all purchase-related terms.
- Registered Users β individuals who have created a HelpfulGoods account, enabling features such as order history, saved items, and loyalty benefits.
- Creators / Affiliates β approved participants in the HelpfulGoods Creator Program who earn commissions by referring customers via unique referral codes or curated boards.
- Brand Partners β companies or individuals who have entered into a formal partnership with HelpfulGoods to list, co-market, or promote their products on the Platform.
Creators and Brand Partners are additionally subject to their respective program agreements, which supplement (and in case of conflict, supersede) these general Terms in relation to their specific roles.
Eligibility & Account Registration
3.1 Age: You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to register an account or place an order. By using the Platform, you confirm you meet this requirement.
3.2 Accuracy: You agree to provide truthful, complete, and current information during registration and checkout. You are solely responsible for keeping your account details up to date.
3.3 Account Security: You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at team@helpfulgoods.com if you suspect unauthorised access to your account.
3.4 One Account per Person: Each individual may maintain only one registered account. Creating multiple accounts to exploit promotions or circumvent restrictions is prohibited and will result in account termination.
3.5 Guest Checkout: You may purchase as a guest without registering. Guest orders are tracked via email address. Guest buyers have the same rights as registered users with respect to returns, refunds, and warranties.
Products, Curation & Accuracy
4.1 Curated Catalogue: HelpfulGoods curates products from third-party suppliers and brand partners. We are not the manufacturer of the products sold. We act as a reseller and are responsible for the condition and quality of products at the point of sale.
4.2 Descriptions: We endeavour to provide accurate product descriptions, specifications, and images. Minor variations in colour or appearance may occur due to display settings or manufacturing tolerances. These do not constitute a material misrepresentation.
4.3 Stock: Products are sold subject to availability. If an item becomes unavailable after an order is confirmed, we will notify you promptly and provide a full refund or suitable alternative. You are not obliged to accept a substitute.
4.4 Video Content: Product videos available through the "Finds" feed are provided for illustrative and informational purposes. They are produced to showcase product features and do not constitute professional advice.
Pricing & Payment
5.1 Currency & Pricing: Prices are displayed in US Dollars (USD) for US customers and may be displayed in Pounds Sterling (GBP) for UK customers. Prices are subject to change without notice; however, the price confirmed at checkout is the price you will be charged.
5.2 Taxes & Duties: For US orders, applicable sales tax is calculated at checkout based on your shipping address in accordance with applicable state and local laws. For UK orders, prices include VAT where applicable. International customers (outside the US and UK) may be subject to import duties, taxes, and customs fees, which are the buyer's responsibility.
5.3 Referral Discounts: Where a valid creator referral code is applied at checkout, a 5% discount will be applied to the qualifying order subtotal. Discounts cannot be combined with other promotions unless explicitly stated.
5.4 Payment Methods: We accept major credit and debit cards (Visa, Mastercard, American Express) and other methods as displayed at checkout. All payments are processed securely through Stripe, our PCI-DSS compliant payment processor.
5.5 Payment Security: We do not store your full card details. All payment data is encrypted in transit and at rest. Card fingerprint data may be retained solely for fraud prevention purposes.
5.6 Fraud Prevention: HelpfulGoods reserves the right to refuse or cancel any order where fraud is suspected, including but not limited to orders placed with stolen card credentials, duplicate or suspicious patterns, or orders linked to previously flagged accounts.
Orders & Contract Formation
6.1 Order as Offer: Submitting an order constitutes an offer to purchase. No contract is formed until we send you an order confirmation email. We reserve the right to decline any order.
6.2 Order Confirmation: Upon successful payment processing, you will receive an order confirmation email. This email is your receipt and constitutes our acceptance of your order.
6.3 Order Modifications & Cancellations: Order modifications or cancellations may be requested within 12 hours of placement, provided the item has not yet been dispatched. Contact team@helpfulgoods.com immediately. Once dispatched, standard return procedures apply.
6.4 Order Number: Each order is assigned a unique order number. Please retain this for any correspondence regarding your purchase.
Shipping & Delivery
7.1 Primary Market: HelpfulGoods primarily ships within the United States. We also fulfil orders to the United Kingdom and selected international destinations, subject to availability.
7.2 Delivery Timeframes: Estimated delivery times are provided at checkout and are indicative only. Delays may occur due to carrier issues, weather events, customs processing, or high order volumes during peak periods.
7.3 Shipping Costs: Shipping fees are calculated at checkout based on your delivery address, order weight, and selected shipping method. Free shipping may be offered on qualifying orders and will be clearly indicated.
7.4 Delivery Address: You are responsible for providing a complete and accurate delivery address. HelpfulGoods is not liable for orders delivered to incorrect addresses provided by the customer. Re-delivery charges may apply.
7.5 Risk of Loss: Risk of loss and title to products pass to you upon delivery to your specified address. For UK customers, risk passes upon delivery in accordance with the Consumer Rights Act 2015.
7.6 Damage in Transit: Please inspect your package upon receipt. Report any visible damage to team@helpfulgoods.com within 48 hours of delivery with photographic evidence.
7.7 Tracking: Where available, tracking information will be provided via your order confirmation or shipping notification email.
Returns, Refunds & Cancellations
8.1 Return Window: You may return most items within 7 days of the date of delivery for a full refund, provided the item is returned in its original, unused condition with all original packaging and accessories included.
8.2 How to Initiate a Return: To initiate a return, contact team@helpfulgoods.com within 7 days of delivery, quoting your order number and reason for return. We will provide return instructions within 2 business days.
8.3 Condition of Returns: Items must be returned unused, undamaged, and in their original packaging. Items that have been used, damaged by the customer, are missing components, or show signs of wear are not eligible for return. Consumable and hygiene-related items are non-returnable once opened.
8.4 Return Shipping Costs: Unless the return is due to our error (wrong item, defective product), customers are responsible for return shipping costs. We recommend using a tracked shipping service.
8.5 Refund Processing: Once a return is received and inspected (typically within 3β5 business days of receipt), we will process your refund to your original payment method within 5β10 business days. You will receive email confirmation when the refund is issued.
8.6 Defective or Incorrect Items: If you receive a defective, damaged, or incorrect item, contact team@helpfulgoods.com within 48 hours of delivery. We will arrange a free replacement or full refund at no cost to you, including return shipping.
8.7 UK Statutory Rights: UK customers have the right to cancel an order for any reason within 14 days of receiving the goods (the "cooling-off period") under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise this right, notify us in writing at team@helpfulgoods.com within 14 days of delivery. Return shipping costs are the customer's responsibility unless the item is faulty or misdescribed.
8.8 Non-Returnable Items: The following categories are excluded from our return policy: (a) items damaged due to customer misuse; (b) consumable accessories or hygiene products once opened; (c) digital or downloadable content; (d) items explicitly marked as final sale.
Warranty & Product Support
9.1 Limited Warranty: Products sold on HelpfulGoods carry a limited warranty (typically 12 months from date of delivery, unless otherwise stated on the product page) against defects in materials and workmanship under normal use.
9.2 Warranty Exclusions: The warranty does not cover: (a) damage caused by misuse, accidents, or neglect; (b) damage resulting from failure to follow product instructions; (c) normal wear and tear; (d) unauthorised modification or repair; (e) consumable parts.
9.3 Making a Warranty Claim: To make a warranty claim, email team@helpfulgoods.com with your order number, a description of the defect, and supporting photographs. We will assess and respond within 3 business days.
9.4 UK Statutory Rights: UK customers have additional statutory rights under the Consumer Rights Act 2015. Goods must be of satisfactory quality, fit for purpose, and as described. If goods are faulty within 30 days of delivery, you are entitled to a full refund. Within 6 months, you are entitled to a repair, replacement, or refund. Within 6 years, you may claim for defects that were present at the time of sale. These rights are in addition to, and not affected by, our voluntary warranty.
9.5 Product Manuals: Digital product manuals, setup guides, and video walkthroughs are available through our Support page. These materials are provided for informational purposes.
Creator / Affiliate Program
10.1 Programme Overview: The HelpfulGoods Creator Programme allows approved individuals ("Creators") to earn commission on sales generated through their unique referral code. Creators may also curate personalised product boards accessible to their audience.
10.2 Eligibility & Application: Applications are reviewed at HelpfulGoods' sole discretion. We reserve the right to approve, reject, or revoke Creator status without obligation to provide reasons. Creators must be at least 18 years old.
10.3 Referral Codes: Each approved Creator is assigned a unique referral code. Codes may be customised once, subject to availability. Codes are personal to the Creator and may not be transferred, sold, or shared.
10.4 Commission Structure: Creators earn a commission (default 5%, subject to change with notice) on qualifying purchases made using their referral code. Customers referred via a valid code also receive a 5% discount at checkout. Commission rates are set by HelpfulGoods and may be adjusted with 14 days' notice.
10.5 Commission Lifecycle: Earned commissions enter a "pending" status for 30 days from the date of the qualifying order to allow for returns and disputes. After 30 days without reversal, commissions become "available" for withdrawal. Commissions are voided if the underlying order is cancelled or returned.
10.6 Payouts: Creators may request withdrawals of available balances above the minimum threshold via their approved payout method (PayPal, bank transfer, Wise, or Stripe Connect). Payout requests are reviewed within 5β10 business days. HelpfulGoods reserves the right to withhold payment pending fraud investigation.
10.7 Debt Balance: If commissions have been paid out on orders that are subsequently cancelled or refunded (chargebacks), the resulting negative balance becomes a "debt balance." This will be offset automatically against future earned commissions before any payout is made.
10.8 Prohibited Creator Conduct: Creators must not: (a) self-refer (place orders using their own code); (b) incentivise or pay others to use their code without disclosure; (c) make false or misleading claims about products; (d) violate any applicable advertising standards (US FTC Guidelines or UK ASA/CAP Codes); (e) use automated means to generate fraudulent clicks or orders. Violation will result in immediate suspension, forfeiture of pending commissions, and recovery of previously paid commissions where applicable.
10.9 FTC & ASA Compliance: Creators must clearly and prominently disclose their material connection to HelpfulGoods in all content where the relationship is relevant, in compliance with US FTC Endorsement Guidelines and UK ASA/CAP rules. Failure to comply is grounds for immediate termination of Creator status.
10.10 Termination: Either party may terminate Creator status with 7 days' written notice. HelpfulGoods may terminate immediately for fraud, repeated policy violations, or reputational harm. Upon termination, available balances will be paid out after the standard hold period; pending commissions are forfeited.
Brand Partnership Programme
11.1 Overview: HelpfulGoods collaborates with third-party brands and manufacturers ("Brand Partners") to list, promote, and sell their products on the Platform. Brand Partners may also be featured in co-marketing campaigns and exclusive promotions.
11.2 Separate Agreement: Brand Partners are required to enter into a separate Brand Partnership Agreement with HelpfulGoods, which governs product listings, revenue sharing, fulfilment obligations, and exclusivity arrangements. These Terms apply in addition to any such agreement.
11.3 Product Responsibility: Brand Partners warrant that products supplied to HelpfulGoods comply with all applicable US and UK product safety regulations, and that all claims made about products are accurate, substantiated, and not misleading.
11.4 Inquiries: Brands interested in partnering with HelpfulGoods may submit an inquiry through the Brand Partnership form on our Platform. Submission does not guarantee acceptance.
User-Generated Content & Reviews
12.1 Licence: By submitting reviews, ratings, comments, or other content ("User Content"), you grant HelpfulGoods a royalty-free, perpetual, worldwide licence to use, display, modify, and distribute that content on our Platform and in marketing materials.
12.2 Accuracy & Honesty: Reviews must be honest, based on genuine product experience, and must not be false, misleading, defamatory, or incentivised without disclosure.
12.3 Prohibited Content: You must not submit content that is: unlawful, obscene, harassing, discriminatory, or infringing of third-party intellectual property rights.
12.4 Moderation: HelpfulGoods reserves the right to remove or modify User Content that violates these Terms or is otherwise inappropriate, at our sole discretion.
Intellectual Property
13.1 Ownership: All Platform content β including text, images, graphics, logos, product descriptions, video content, and software β is the exclusive property of HelpfulGoods LLC or its licensors, protected by US and international copyright and trademark law.
13.2 Limited Licence: We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial shopping purposes only.
13.3 Restrictions: You may not copy, reproduce, distribute, publicly display, modify, or create derivative works from any Platform content without our prior written consent.
13.4 Trademarks: The HelpfulGoods name, logo, and product names are trademarks of HelpfulGoods LLC. You may not use them without prior written permission.
Acceptable Use
You agree not to:
- Use the Platform for any unlawful, fraudulent, or deceptive purpose
- Place orders with stolen, cloned, or unauthorised payment credentials
- Create multiple accounts to exploit promotions or circumvent bans
- Scrape, crawl, harvest, or use automated tools to access Platform data
- Attempt to access systems, accounts, or data not intended for you
- Interfere with or disrupt the Platform's servers or networks
- Reverse engineer, decompile, or attempt to extract source code
- Impersonate HelpfulGoods, its staff, or other users
- Post false, misleading, or defamatory reviews or content
- Resell HelpfulGoods products commercially without prior written authorisation
Privacy & Data Protection (US & UK)
15.1 Privacy Policy: Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your personal data.
15.2 US β CCPA (California): California residents have rights under the California Consumer Privacy Act (CCPA), including the right to know what personal data we collect, request deletion of personal data, and opt out of the sale of personal data. To exercise these rights, contact team@helpfulgoods.com.
15.3 US β CAN-SPAM: Our email communications comply with the CAN-SPAM Act. You may unsubscribe from marketing emails at any time using the unsubscribe link in any marketing communication.
15.4 UK β UK GDPR & Data Protection Act 2018: UK residents have rights under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, including the right of access, rectification, erasure, restriction of processing, data portability, and the right to object. To exercise these rights, contact team@helpfulgoods.com. You also have the right to lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk.
15.5 Data Security: We implement industry-standard security measures including 256-bit SSL/TLS encryption and secure payment processing to protect your personal information.
15.6 Fraud & Card Data: Card fingerprint data may be retained for fraud detection purposes. This data is stored in accordance with our Privacy Policy and applicable payment card industry standards.
Cookies
16.1 Use of Cookies: We use cookies and similar tracking technologies to improve the Platform, personalise your experience, and analyse usage. Essential cookies are necessary for the Platform to function and cannot be disabled.
16.2 UK & EU: UK users have the right to opt out of non-essential cookies in accordance with the Privacy and Electronic Communications Regulations (PECR) and the UK GDPR.
16.3 Cookie Management: You may manage cookie preferences through your browser settings. Note that disabling cookies may affect certain Platform functionality.
Disclaimer of Warranties
To the fullest extent permitted by applicable law:
17.1 As-Is Basis: The Platform and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
17.2 Third-Party Suppliers: HelpfulGoods does not warrant or guarantee the accuracy of information provided by third-party suppliers or brand partners regarding their products.
17.3 UK Consumers: Nothing in this section limits or excludes any statutory rights you have as a consumer under UK law (including the Consumer Rights Act 2015), which cannot be excluded by contract.
Limitation of Liability
18.1 Indirect Damages: To the fullest extent permitted by US and UK law, HelpfulGoods shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from your use of the Platform or our products.
18.2 Maximum Liability: Our total aggregate liability for any claim arising from a product purchase shall not exceed the amount you paid for that specific product.
18.3 Third Parties: HelpfulGoods is not liable for loss or damage caused by third-party carriers, payment processors, fulfilment partners, or other external services beyond our reasonable control.
18.4 UK Consumers: Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be limited under the Consumer Rights Act 2015, the Consumer Protection Act 1987, or any other applicable statute.
Indemnification
You agree to indemnify, defend, and hold harmless HelpfulGoods LLC, its members, officers, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your User Content; (d) any false or misleading information you provided; or (e) your gross negligence or wilful misconduct.
Governing Law & Dispute Resolution
20.1 US Customers: For customers located in the United States, these Terms are governed by the laws of the United States and applicable state law, without regard to conflict of law principles.
20.2 Informal Resolution: Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally. Contact us at team@helpfulgoods.com. We will endeavour to resolve the matter within 15 business days.
20.3 Binding Arbitration (US): For US customers, if informal resolution fails, disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules, except for claims that may be brought in small claims court or that seek emergency injunctive relief.
20.4 Class Action Waiver (US): US customers waive the right to participate in class action or collective action lawsuits. All disputes must be brought on an individual basis.
20.5 Small Claims (US): Either party may bring qualifying claims in small claims court as an alternative to arbitration.
UK Consumer Rights & Jurisdiction
21.1 Governing Law (UK): For customers located in the United Kingdom, these Terms are governed by the laws of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under UK law.
21.2 Jurisdiction (UK): UK consumers may bring proceedings in the courts of England and Wales (or Scotland or Northern Ireland if applicable). HelpfulGoods may also bring proceedings in the courts of your country of residence.
21.3 Consumer Rights Act 2015: UK consumers have rights under the Consumer Rights Act 2015 regarding goods being of satisfactory quality, fit for purpose, and matching the description. These rights are in addition to any contractual rights under these Terms.
21.4 Distance Selling: Contracts formed via our Platform are subject to the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 for UK customers. You have a 14-day right to cancel as described in Section 8.7 above.
21.5 Alternative Dispute Resolution (UK): UK consumers may refer unresolved disputes to an approved Alternative Dispute Resolution (ADR) provider. Information on ADR providers is available from the Chartered Trading Standards Institute. The European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr (note: UK consumers may use this for disputes with EU traders; HelpfulGoods is a US LLC).
Modifications to These Terms
22.1 Right to Modify: HelpfulGoods reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days in advance.
22.2 Continued Use: Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform.
22.3 Version History: The date at the top of this document reflects the most recent update. We recommend reviewing these Terms periodically.
Severability & Entire Agreement
23.1 Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
23.2 Entire Agreement: These Terms, together with our Privacy Policy and (where applicable) Creator Programme or Brand Partnership agreements, constitute the entire agreement between you and HelpfulGoods LLC with respect to your use of the Platform, and supersede all prior agreements, representations, or understandings.
23.3 No Waiver: Failure by HelpfulGoods to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
